Terms of Service

These terms govern your use of Sail. By creating an account or using the service you agree to them. If you use Sail on behalf of a company, you confirm you are authorised to bind that company, and "you" means the company.

1. Who provides the service

Sail is operated by ALCOFAGEOMÉTRICA — PROGRAMAÇÃO INFORMÁTICA, UNIPESSOAL LDA (NIPC 519501624), a company incorporated in Portugal, doing business as Sail Labs ("we", "us").

2. The service

Sail is a receivables, payments and invoicing platform for freelancers and small businesses: payment requests with SEPA references, public payment pages, certified Portuguese invoicing, expense and VAT capture, bank account aggregation, budgets, cashflow projections and an assistant. Sail is intended for business and professional use by users who are at least 18 years old.

3. Sail is not a bank

Sail is a financial-technology company, not a bank, and does not hold client funds. Payments made through payment requests or payment pages settle directly to your own bank account by SEPA credit transfer. Sail never takes possession of the money you collect.

4. Third-party services

  • Enable Banking — bank account aggregation is provided by Enable Banking, an authorised account information service provider under PSD2. Access to your bank data requires your explicit consent, given in your bank's own authorisation flow, and can be revoked at any time.
  • Invopop — invoices are issued through Invopop under a software certification recognised by the Portuguese Tax Authority (AT, certification 192/AT). You remain the issuer of your invoices and responsible for their content.

These providers have their own terms and privacy policies, which apply to your use of their services.

5. Your responsibilities

  • Provide accurate information — in your account, your supplier profile, your invoices and your payment requests.
  • Keep your credentials secure and don't share your account. You are responsible for activity under your account, including team members you invite.
  • Use Sail only for lawful purposes: no fraud, money laundering, requesting payment for illegal goods or services, or misleading payers.
  • You are responsible for the invoices you issue, the VAT you charge, and your tax filings.

6. Acceptable use

You may not abuse the service: no attempts to breach security, no scraping or bulk extraction of data that isn't yours, no reverse engineering, no interfering with other users, and no use of public payment pages to collect payments you are not entitled to collect. We may suspend or terminate accounts that violate these terms or create risk for other users, payers or the service.

7. Not professional advice

Sail's accounting features, VAT summaries, cashflow projections and assistant outputs are informational tools, not tax, legal or accounting advice. In Portugal, only a certified accountant (contabilista certificado registered with the OCC) may sign tax declarations. Bank balances and transactions are as fresh as the latest synchronisation permitted by your bank and PSD2; always confirm critical figures with your bank and your accountant.

8. Availability and changes

We work to keep Sail available and secure, but the service is provided "as is" and depends on third parties (banks, payment processors, the tax authority's systems) we do not control. We may add, change or remove features. If we discontinue the service or a material part of it, we will give you reasonable notice and the opportunity to export your data.

9. Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential losses, loss of profit, or losses caused by third-party services, and our total liability arising from the service is limited to the amounts you paid us for it in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded under Portuguese law, including liability for wilful misconduct or gross negligence.

10. Fees, billing and refunds

Sail is sold as an annual subscription (Basic, Plus, Pro or a Custom plan agreed in writing), paid in advance for the year through our payment provider, Stripe. Prices are stated excluding IVA; the applicable IVA is added at checkout based on your billing country and VAT status. Subscriptions renew automatically for a further year at the then-current price unless you cancel before the end of the current period; cancellation takes effect at the end of the period already paid for. Plan changes take effect immediately and are prorated for the remainder of the period.

Each plan includes an annual allowance of certified documents, a number of connected bank accounts and a number of team members. We never block a certified document at the allowance: each document issued beyond it is charged at €0.10, capped at the difference between your plan's price and the next plan's, and billed on your renewal invoice. Credit notes and voided documents count towards the allowance.

Entry offer. The first subscription on an account starts with a one-time charge of €1 (IVA included) that covers its first 15 days. On day 15 the annual price of the plan you are on, plus IVA, is charged automatically to the card on file, and the plan year runs from the day you started. You can switch plans during those 15 days at no cost. If you cancel from your billing page before day 15, the subscription ends then and nothing more is charged; the €1 is not refunded. If the day-15 charge fails, access is suspended until it is paid. The offer applies once per account; a later subscription is paid for the year in advance at checkout. There is no money-back period on the annual charge beyond your statutory rights.

We will announce price changes at least 30 days before they apply to your renewal. Certified documents already issued are unaffected by any change to, or the end of, your subscription — they remain your fiscal records and stay available to you.

11. Term and termination

You can stop using Sail and delete your account at any time. We may suspend or terminate your access for material breach of these terms. Provisions that by their nature should survive termination (such as liability limits and legally required record retention) survive it.

12. Changes to these terms

We may update these terms as the product evolves. Material changes will be announced in the app or by email before they take effect; continuing to use Sail after that constitutes acceptance. The "Last updated" date above always reflects the current version.

13. Governing law and contact

These terms are governed by Portuguese law, and any dispute is subject to the courts of Portugal, without prejudice to mandatory consumer protections that may apply to you.
